1. Introduction
These Terms & Conditions (“Terms”) govern the provision of AI-powered phone answering, call handling, lead capture, SMS notifications, call recording, and related services (“Services”) supplied by TradeCalls Australia Pty Ltd (“TradeCalls”, “we”, “us”, “our”) to you (“Customer”, “you”, “your”).
By engaging TradeCalls, accepting a quote, completing onboarding, or using our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Services.
2. Services
TradeCalls provides AI-powered receptionist services designed to assist businesses in managing inbound customer calls.
Services may include:
AI-powered inbound call answering
Caller information capture
Job detail collection
Lead qualification
SMS call summaries
Call forwarding (where applicable)
Call recording and transcription
Workflow automation
CRM and third-party integrations (where agreed)
TradeCalls reserves the right to modify, improve, suspend, or discontinue any Service feature at any time.
TradeCalls does not guarantee:
lead generation;
increased revenue;
job bookings;
conversion outcomes.
3. Setup and Onboarding
A one-time setup fee applies before Services commence.
Setup may include:
AI agent configuration
business information setup
call routing setup
SMS notification setup
workflow design
integration setup
onboarding support
Setup fees are payable upfront and are non-refundable once setup has commenced.
Setup timelines are estimates only.
4. Subscription Fees and Auto Billing
Services are supplied on a recurring monthly subscription basis.
Monthly subscription fees:
are billed in advance;
are automatically debited on the agreed billing date;
continue until cancelled under these Terms.
By subscribing, you authorise TradeCalls to process recurring payments from your nominated payment method.
You agree to ensure:
your payment details remain valid;
sufficient funds are available on billing dates.
If payment fails:
TradeCalls may retry the payment;
suspend Services;
recover any unpaid fees.
TradeCalls may change pricing by providing at least 30 days’ written notice.
5. Payment Authority and Acceptance
By proceeding with signup, onboarding, or payment, you:
acknowledge you have read and accepted these Terms;
authorise TradeCalls to process recurring automatic payments;
authorise payment for setup fees, subscription fees, and approved additional charges.
Recurring billing continues until valid cancellation.
6. Customer Responsibilities
You agree to:
provide accurate business information;
keep your information current;
review AI call summaries for accuracy;
respond to leads appropriately;
ensure call forwarding is correctly configured (where used);
comply with applicable laws.
You are solely responsible for any decisions made based on AI-collected information.
7. AI Limitations and Accuracy
TradeCalls uses artificial intelligence to interact with callers.
You acknowledge:
AI may misunderstand callers;
call summaries may contain errors;
caller information may be incomplete or inaccurate;
AI responses may vary.
TradeCalls does not verify caller information.
You are solely responsible for validating all lead and customer information.
TradeCalls accepts no liability for decisions based on AI-generated information.
8. Call Recording
TradeCalls records calls for:
service delivery;
quality assurance;
system training;
compliance;
dispute resolution.
You acknowledge that call recording may occur as part of the Services.
You are responsible for complying with any legal obligations to notify callers regarding call recording.
TradeCalls is not liable for your failure to meet legal recording obligations.
9. SMS Notifications
TradeCalls may send SMS notifications and call summaries.
SMS delivery depends on third-party telecommunications providers.
TradeCalls does not guarantee SMS delivery times or successful delivery.
TradeCalls is not liable for:
delayed delivery;
failed delivery;
carrier interruptions.
10. Third-Party Providers
TradeCalls relies on third-party technology providers, including:
telephony providers;
AI platforms;
messaging providers;
hosting providers;
integrations.
TradeCalls is not responsible for outages, interruptions, failures, or limitations caused by third-party systems.
Third-party terms may apply where integrations are used.
10. Third-Party Providers
TradeCalls aims to provide reliable service but does not guarantee uninterrupted availability.
Services may be affected by:
maintenance;
software updates;
internet outages;
telecommunication outages;
third-party outages.
TradeCalls will use reasonable efforts to restore service where interrupted.
12. Intellectual Property
All TradeCalls systems, software, workflows, prompts, branding, automations, and service frameworks remain the exclusive property of TradeCalls.
You must not:
copy;
modify;
distribute;
reverse engineer;
resell
any part of the Services without written consent.
13. Customer Data
You retain ownership of your business data.
You grant TradeCalls a non-exclusive licence to:
store;
process;
analyse
your data for service delivery, support, analytics, and service improvement.
TradeCalls may use anonymised aggregated data to improve Services.
You are responsible for maintaining your own records and backups.
14. Privacy
TradeCalls handles personal information in accordance with Australian privacy laws.
You warrant that you have authority to collect and process customer information submitted through the Services.
You indemnify TradeCalls for privacy breaches caused by your conduct, instructions, or non-compliance.
15. Limitation of Liability
To the maximum extent permitted by law, TradeCalls is not liable for:
missed calls;
lost leads;
lost revenue;
lost profits;
lost business opportunities;
inaccurate call summaries;
AI errors;
SMS failures;
business interruption.
TradeCalls’ total liability is limited to the total amount paid by you to TradeCalls in the previous three (3) months.
Nothing in these Terms excludes rights under Australian Consumer Law.
16. Indemnity
You indemnify TradeCalls against any claims, losses, liabilities, or expenses arising from:
your use of the Services;
your customer disputes;
privacy breaches;
call recording disputes;
misuse of the Services;
unlawful conduct.
17. Suspension and Termination
TradeCalls may suspend or terminate Services immediately if:
payment remains unpaid;
you breach these Terms;
unlawful use is suspected.
You may cancel Services by providing at least 30 days’ written notice.
Cancellation takes effect at the end of the billing period.
No refunds apply for unused portions of a billing cycle.
Outstanding amounts remain payable.
18. Refund Policy
Setup fees are non-refundable once onboarding begins.
Monthly subscription fees are non-refundable once billed.
No refunds are provided for change of mind.
Australian Consumer Law rights remain unaffected.
19. Force Majeure
TradeCalls is not liable for delays or failures caused by events beyond reasonable control, including:
telecommunications failures;
internet outages;
natural disasters;
cyber incidents;
government actions;
power outages.
20. Marketing Use
Unless otherwise agreed in writing, you grant TradeCalls permission to use your business name and logo for marketing and promotional purposes.
You may withdraw this consent by written notice.
21. Changes to Terms
TradeCalls may update these Terms from time to time.
Updated Terms take effect upon publication or written notice.
Continued use of the Services constitutes acceptance of updated Terms.
22. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
